Abstract

İmtiyazlı pay sahipleri kurulunun hukuki niteliğine ilişkin gerek doktrin gerekse Yargıtay kararlarında farklı görüşler ileri sürülmüştür. Göründüğü kadarı ile bu tartışma ve görüş ayrılıkları 6102 sayılı Türk Ticaret Kanunu (TTK) döneminde de devam edecektir. Bu çalışmada genel olarak tüzel kişilerde organ kavramı ve anonim ortaklıklar özelinde organ sıfatının nasıl tespit edileceği hususları açıklanacak; daha sonra 6102 sayılı TTK'nın da getirdiği düzenlemeler ışığında özel kurulun organ sıfatı tartışılacaktır.Regarding the legal status of the private assembly of privileged shareholders various approaches have been expressed both by the doctrine and the Supreme Court decisions and it seems that the controversies will continue on practice of Turkish Commercial Code No:6102 (TCC). In this article, firstly we will define the concept of “organ” in legal entities and explain the methods to determine organs of joint stock companies. Afterwards the legal status of private assembly of privileged shareholders will be discussed within the framework of the TCC.
