6362 sayılı sermaye piyasası kanunu 107. maddesi çerçevesinde piyasa dolandırıcılığı suçu

Abstract

Teknolojinin gelişmesiyle birlikte yatırımcılar borsada çeşitli tekniklerle işlem gerçekleştirmektedirler. Özellikle bir sermaye piyasası aracının fiyatını belirlemeye yönelik aldatıcı işlemler, piyasanın etkin şekilde işleyişini bozacaktır. Piyasa dolandırıcılığı, bir sermaye piyasası aracının fiyatının şekillenmesini sağlamak amacıyla aktif bir piyasa izlenimi uyandıracak nitelikteki fiillerde bulunulması ya da gerçekdışı bilgi veya haberlerin yayılması suretiyle fiyatın yapay olarak belirlenmesidir. Piyasa dolandırıcılığı suçu, 6362 sayılı Sermaye Piyasası Kanununun 107. Maddesinde hüküm altına alınmıştır. İlk fıkrada işlem bazlı piyasa dolandırıcılığı suçu düzenlenirken, ikinci fıkrada, bilgi bazlı piyasa dolandırıcılığı suçu düzenlenmiştir. Cezai yaptırımı, Sermaye Piyasası Kurulu'nun Cumhuriyet Savcılığına yapacağı ve muhakeme şartı niteliğindeki yazılı başvurusu ile suç duyurusunda bulunmaktır. Eylem suç oluşturmadığı takdirde piyasa bozcu eylem olarak nitelendirilebiliyorsa Sermaye Piyasası Kurulunca Kabahatler Kanunu uyarınca, idari para cezası işlemi tesis edilebilir. Borsada işlem gerçekleştiren yatırımcının piyasa dolandırıcılığı suçu işlediğine dair makul şüphe oluşması durumunda ise, yatırımcıya işlem yasağı tedbiri uygulanabilecektir.Capital markets are important for countries due to their effects on the national economy. The contributions of investors and companies to the market will improve the markets and deepen investment opportunities by operating the market in a safe, transparent, effective, stable, fair and competitive environment. With the development of technology, investors perform transactions on the stock exchange with various techniques. In particular, deceptive actions to determine the price of a capital market instrument will disrupt the efficient functioning of the market. Manipulation is to artificially determine the price by making deeds of an active market impression or spreading unreal information or news in order to shape the price of a capital market instrument. Article 107 of the Capital Markets Law No. 6362 regulates manipulation. In the first paragraph, the transaction-based manipulation crime is regulated, in the second paragraph, the information-based manipulation crime is organized. Criminal sanction is to file a criminal complaint with the Capital Markets Board's written application to the Public Prosecutor's Office which is a condition of reasoning. If the action does not constitute a crime, the administrative penalty may be imposed by the Capital Markets Board. In case of reasonable suspicion that the investor committing a manipulation offense, the investor may apply prohibition of transaction.
