Kat karşılığı inşaat sözleşmesinin yüklenicinin temerrüdü sebebiyle sona ermesi

Abstract

Kat karşılığı inşaat sözleşmesi, kendine has bir yapısı olan inşaat sözleşmesidir. Kat karşılığı inşaat sözleşmesinde yüklenici arsa payı karşılığında bir eseri inşa edip arsa sahibine teslim etme yükümlülüğü altına girerken, arsa sahibi de belirlenen arsa paylarını yükleniciye devretmekle yükümlüdür. Bu çalışma kat karşılığı inşaat sözleşmesinde karşılaşılan en önemli sorunlardan biri olan yüklenicinin temerrüdü konusunu ele almaktadır. Yüklenicinin asli borcu bağımsız bölümlere sahip bir eser inşa ederek, belirlenen bağımsız bölüm veya bölümleri arsa sahibine zamanında teslim etmektir. Yüklenicinin edimini zamanında yerine getirmemesi halinde temerrüde düştüğü kabul edilmektedir. Yüklenicinin temerrüdü halinde arsa sahibi eserin tamamlanarak teslimini ve gecikme nedeniyle uğradığı zararın tazminini talep edebileceği gibi, ek süre verme şartını yerine getirerek ifadan vazgeçmek suretiyle, müspet zararının tazminini talep edebilir. Arsa sahibi ayrıca şartların oluşması halinde sözleşmeden dönmek suretiyle menfi zararının karşılanmasını talep edebilir. Ayrıca arsa sahibi sözleşmeden dönerek müspet zararının tazminini de talep edebilir. Müspet zarar, fiili zararları ve kaçırılan fırsatlardan doğan zararları kapsamaktadır. Sözleşmeden dönülmesi durumunda arsa sahibi ve yüklenici ifa ettikleri edimleri iade etmekle yükümlüdürler. Türk Borçlar Kanunu'nda düzenlenmeyen isimsiz bir sözleşme tipi olan kat karşılığı inşaat sözleşmesinde yüklenicinin temerrüdü halinin uygulamada çok sık görülen bir durum olması ve bunun arsa sahibi açısından doğurduğu riskler bakımından bütün yönleriyle incelenmesi hedeflenmiştir.Construction agreements in return for independent units are considered as one of the unique structure of the construction agreements. Under construction agreements in return for independent units, contractor's obligation is to complete the building and deliver the agreed independent part to the business owner in return to piece of land and business owner's obligation is to transfer of the ownership of the determined part of the land to the contractor. This thesis will focus on the one of the most important issue, which is the default of the contractor. Contractor's primary obligation is to complete a building and deliver the independent units on time. If contractor cannot deliver the independent units on time, it is considered to be on default. In case of contractor's default, business owner either can request the completion of the contract and compensation for the delay; or can reject the completion of the construct and can demand the compensation for the positive damage, provided that contractor has been given extra period of time. Moreover, provided that all conditions are met, business owner can avoid from the contract and request compensation for negative damages. Negative damages include actual damages and damages caused due to the missed opportunities. When business owner declared avoidance of the contract, both parties are obliged to return the deeds they received from other side. Considering that the construction agreements in return for independent units are not defined by the Turkish Code of Obligation and default of the contractor is very widespread, the aim of this thesis to analyse all aspects of the default of the contractor and its risk for the business owner.
